Terms
Rules for access, use, term and other contractual foundations of the CUTO Service.
These Terms apply only when the applicable contracting or registration process expressly identifies CUTO Technology, LLC as the contracting party and incorporates this exact version of the Terms.
A person accepting these Terms for an organisation confirms that the person is authorised to accept them on that organisation's behalf.
“Customer” means the organisation identified in the applicable contracting or registration process. “Authorised User” means an individual to whom the Customer grants access. “Service” means the CUTO software-as-a-service scope identified there. “Customer Content” means data and content submitted to the Service by the Customer or its Authorised Users.
Subject to the applicable contract documents and the agreed or activated scope, the Customer may grant Authorised Users access to the Service for its internal business purposes.
The Customer controls invitations, roles and access rights for its Authorised Users, protects credentials, and promptly reports suspected unauthorised access through the contact path designated by CUTO for that purpose.
The Customer is responsible for its Authorised Users' compliance with these Terms and the incorporated Acceptable Use Policy and for having the rights and permissions required for Customer Content.
Subject to the applicable contract documents, the Customer retains its rights in Customer Content. CUTO may use Customer Content only to the extent necessary to provide the Service and perform the applicable contract documents.
Use of the Service must comply with the version of the Acceptable Use Policy incorporated through the applicable contracting or registration process.
Where a data processing agreement applies to a specific processing activity, that processing is governed by the approved agreement. These Terms do not assign data-protection roles on a blanket basis.
Binding security, availability, recovery, and support commitments exist only to the extent stated in an expressly applicable and approved contract document. Public product descriptions do not create additional service levels.
For a particular subject, the contract document expressly identified as controlling in the applicable applicability and precedence record takes priority. A precedence rule applies only after approval and effective incorporation.
Website and marketing content is informational. It does not replace or expand the contract documents that have been effectively incorporated.
Each version of these Terms is identified by document ID, version, and effective date. Changes, notices, and any renewed acceptance follow the approved document-governance rules and the applicable contracting process.
